Version of 10 September 2026

Odesa, Ukraine

1. General provisions

1.1. This document is a public offer by Individual Entrepreneur Kateryna Viktorivna Badyko, operating under the trade name Lexoria Education (the Provider), to enter into an agreement for educational services (the Agreement) on the terms set out below.

1.2. The Agreement is a public agreement under Articles 633 and 641 of the Civil Code of Ukraine and an electronic agreement under the Law of Ukraine “On Electronic Commerce”. Its terms are the same for all Customers, except for terms separately agreed by the parties in writing.

1.3. Full and unconditional acceptance of the Offer is payment for a Course, in full or in part. The Customer also confirms acceptance by ticking the box of agreement with the Offer on the Website, in the Telegram bot or on the Platform.

1.4. From the moment of acceptance the Agreement is deemed concluded in written form and does not require a signed paper copy. On the Customer’s request the Provider issues an invoice, the Agreement and a certificate of services rendered, signed by hand or with a qualified electronic signature.

1.5. Before payment the Customer reads this Offer, the Privacy Policy and the description of the chosen Course on the Website.

1.6. The Offer is published in Ukrainian, English, Romanian, Polish and Georgian. In case of any discrepancy, the Ukrainian version prevails.

2. Definitions

  • Customer: an individual aged 18 or over, an individual entrepreneur or a legal entity that has accepted the Offer.
  • Student: the person receiving the educational services. The Student is the Customer or another person whose studies the Customer has paid for.
  • Website: the Provider’s website at https://lexoria.education.
  • Platform: the Provider’s Moodle-based distance learning system at https://platform.lexoria.education.
  • Course: a language programme whose title, volume in hours, number of lessons, format and price are stated on the Website or in the Order Confirmation.
  • Lesson: an online class with a teacher by video conference according to the group schedule.
  • Mini-group: a group of Students of the same Course.
  • Assessment: a free language level assessment of up to 30 minutes.
  • Grant: a discount on the Course price under the terms published on the Website.
  • Order Confirmation: a message from the Provider to the Customer’s email or messenger stating the Course, start date, schedule, price and a link to the Offer.

3. Subject of the Agreement

3.1. The Provider undertakes to provide the Student with language learning services under the chosen Course, and the Customer undertakes to pay for these services.

3.2. The services are provided remotely. Lessons are held by video conference; learning materials, homework, tests and grades are available on the Platform.

3.3. The services are non-formal education within the meaning of the Law of Ukraine “On Education” and do not lead to a state-recognised educational qualification.

3.4. The content, volume, number of lessons and schedule of a Course are stated on the Website and in the Order Confirmation.

4. Ordering procedure

4.1. The Customer submits a request on the Website, in the Telegram bot @lexoria_education_bot, via messengers or by email.

4.2. The Provider conducts a free Assessment, determines the Student’s level and offers a Course and a group. The Assessment does not oblige the Customer to buy a Course.

4.3. The Provider sends the Customer an invoice or payment details stating the amount and payment deadline.

4.4. Within 1 business day after the payment is received, the Provider sends the Order Confirmation.

4.5. The Student receives access to the Platform no later than 1 business day before the first Lesson.

4.6. A Customer who pays for another person’s studies confirms that this person has read the Offer and has agreed to the transfer of their personal data to the Provider.

5. Price and payment

5.1. The Course price is stated on the Website in Ukrainian hryvnias (UAH) or as an equivalent in US dollars or euros. If the price is stated in a foreign currency, payment is made in UAH at the official exchange rate of the National Bank of Ukraine on the invoice date.

5.2. An invoice is valid for 3 banking days. After that, the UAH amount may be recalculated at the rate of the new date.

5.3. The Course is paid in the amount of 100% of the price before the first Lesson, unless payment in instalments is offered on the Website or in the invoice.

5.4. Payment is made by bank transfer to the Provider’s account using the details in Section 19 or in the invoice, or by other methods stated on the Website. Details for payment in a foreign currency are provided on request.

5.5. The payment reference must state: “Payment for educational services”, the Course title and the Student’s full name.

5.6. The payment date is the date the funds are credited to the Provider’s account. The payer’s bank fees are paid by the Customer.

5.7. The Provider is a single tax payer and is not registered for value added tax (VAT).

5.8. The price of a paid Course does not change. New prices on the Website apply only to new orders.

6. Grant and discounts

6.1. The Grant is available to new Students under the terms published on the Website on the payment date, including its amount, validity period and conditions such as taking the level test and paying 100% of the Course price.

6.2. The Grant reduces the Course price, is not paid out in cash, cannot be transferred to another person and cannot be combined with other discounts unless the promotion terms state otherwise.

6.3. If the Grant conditions are not met, the Course is paid at the price without the Grant.

7. Provision of services

7.1. Lessons are held online in Mini-groups according to the schedule in the Order Confirmation. The video conference link is available on the Platform.

7.2. A group starts once the minimum number of Students set by the Provider is reached. If a group is not formed, the Provider, no later than 2 business days before the start, offers the Customer another start date, another group or a 100% refund.

7.3. The Provider may reschedule a Lesson by notifying the Students at least 24 hours in advance. A rescheduled Lesson is held on another day agreed with the group.

7.4. A Lesson that does not take place or is interrupted due to an air raid alert, power or communication outage on the Provider’s side is held or continued at another time at no extra cost.

7.5. The Provider may replace a teacher with another teacher of appropriate qualification. A change of teacher does not change the Course price.

7.6. A Lesson missed by the Student is not rescheduled or compensated. Materials and homework for the missed Lesson are available on the Platform.

7.7. The Student may move once to another group of the same Course if places are available, by notifying the Provider at least 3 business days in advance.

7.8. The Provider may record Lessons for quality control and to give group Students access to the materials. Students are informed before recording starts. Recordings are available only to group members and are kept no longer than 30 calendar days after the Course ends.

7.9. Access to Course materials on the Platform remains open during the studies and for 30 calendar days after the Course ends.

7.10. To study, the Student needs a computer or smartphone with a stable internet connection, camera, microphone and an up-to-date browser.

7.11. The services are deemed rendered once all Course Lessons have been held according to the schedule. If the Customer sends no written objections within 5 business days after the Course ends, the services are deemed accepted.

8. Certificate

8.1. After the Course, the Student receives an electronic Lexoria Education certificate on the Platform, provided that the Student attended at least 80% of the Lessons and completed the final test.

8.2. The certificate confirms completion of a Lexoria Education non-formal education programme and is not a state-recognised educational document. It does not replace international language exams (for example, IELTS, OET) or documents issued by educational institutions.

9. Rights and obligations of the Provider

9.1. The Provider shall:

  • provide quality services in the volume and within the time frames defined by the Course and schedule;
  • engage teachers with the appropriate language level and teaching experience;
  • give the Student access to the Platform and learning materials;
  • notify the Students of schedule changes;
  • keep the personal data of the Customer and the Student confidential;
  • issue a certificate under Section 8.

9.2. The Provider may:

  • change the way the material is presented while keeping the Course volume and objective;
  • engage third parties (teachers, technical contractors) while remaining responsible to the Customer;
  • after a warning, restrict the Student’s access to Lessons and the Platform in case of a breach of clause 10.3;
  • terminate the Agreement in case of a repeated breach of clause 10.3 and refund the cost of Lessons not yet held.

10. Rights and obligations of the Customer and the Student

10.1. The Customer shall pay for the Course on time and provide accurate contact details.

10.2. The Student has the right to:

  • receive the services in the volume of the chosen Course;
  • use the materials on the Platform;
  • receive feedback from the teacher on homework;
  • contact the Provider with questions and complaints about service quality.

10.3. The Student shall:

  • attend Lessons on time and do the homework;
  • behave respectfully towards the teacher and other Students and avoid insults, discrimination, advertising and sharing unrelated content;
  • not share the Platform login and password with anyone;
  • not record Lessons or share recordings, Course materials or other Students’ personal data;
  • notify the Provider in advance of missing a Lesson.

11. Cancellation and refunds

11.1. The Customer may cancel the Agreement at any time by sending a request to [email protected]. The request states the Student’s full name, the Course, the payment date and the details for the refund.

11.2. If the request is received before the first Lesson, the Provider refunds 100% of the amount paid.

11.3. If the request is received after the first Lesson, the Provider refunds the amount paid minus the cost of the Lessons held according to the group schedule before the request was received, whether or not the Student attended them.

11.4. The cost of one Lesson equals the Course price actually paid divided by the total number of Course Lessons.

11.5. By accepting the Offer, the Customer agrees that the services may begin before the 14-day period from the conclusion of the Agreement expires. This does not limit the Customer’s right to a refund for Lessons not held under clause 11.3.

11.6. If the Provider cancels a Course or cannot continue teaching a group, the Customer chooses between moving to another group or Course and a refund for the Lessons not held.

11.7. Refunds are made within 14 calendar days after the request is received, to the account from which the payment was made or to another account of the Customer stated in the request. Correspondent bank fees for international transfers are not compensated by the Provider, except for refunds caused by the Provider.

11.8. The free Assessment is not taken into account when calculating the refund.

12. Intellectual property

12.1. Programmes, learning materials, presentations, tests, videos and other Course materials belong to the Provider or are used by the Provider on lawful grounds.

12.2. The Student may use the materials only for their own studies. Copying, selling, publishing or passing the materials to third parties without the Provider’s written consent is prohibited.

12.3. The Lexoria Education name, logo and brand identity may not be used without the Provider’s written consent.

13. Liability

13.1. The parties are liable for non-performance or improper performance of the Agreement under the laws of Ukraine.

13.2. Learning results depend on the Student’s attendance, homework and independent work. The Provider does not guarantee passing exams, employment, admission to an educational institution or obtaining a visa.

13.3. The Provider is not liable if the Student cannot receive the services for reasons on the Student’s side, such as no internet access, faulty equipment or services being blocked in the Student’s country.

13.4. To the extent permitted by law, the Provider’s liability is limited to the amount paid by the Customer for the relevant Course.

14. Force majeure

14.1. The parties are released from liability for failure to perform obligations caused by force majeure, including hostilities, air raid alerts, large-scale power or communication outages, natural disasters and decisions of public authorities.

14.2. The affected party notifies the other party within a reasonable time. Performance is postponed for the duration of such circumstances. If they last more than 30 calendar days, either party may terminate the Agreement, and the Provider refunds the cost of the Lessons not held.

15. Personal data

15.1. By accepting the Offer, the Customer agrees to the processing of their personal data and the Student’s personal data under the Privacy Policy published on the Website.

15.2. The Provider processes personal data under the Law of Ukraine “On Personal Data Protection” and, for persons located in the European Union, also in line with the EU General Data Protection Regulation (GDPR).

16. University admission support

16.1. This Offer does not cover admission support services for Ukrainian higher education institutions. Such services are provided under a separate written agreement.

16.2. The initial admission consultation is free and for information only. Admission decisions are made by the higher education institution, and visa and residence permit decisions by the competent public authorities. The Provider does not guarantee admission.

17. Dispute resolution

17.1. The Agreement is governed by the laws of Ukraine.

17.2. Disputes are settled by negotiation. Complaints are sent to [email protected], and the Provider replies within 14 calendar days.

17.3. If a dispute is not settled, it is resolved by a court under the laws of Ukraine. A consumer Customer may also contact the State Service of Ukraine on Food Safety and Consumer Protection.

17.4. The choice of Ukrainian law does not deprive a consumer Customer living outside Ukraine of the protection granted by the mandatory rules of the law of their country of residence.

18. Term and amendments

18.1. The Offer takes effect on the day it is published on the Website and remains valid until withdrawn.

18.2. The Provider may amend the Offer by publishing a new version on the Website. Paid Courses are governed by the version in force on the payment date.
